Terms of Service

These Terms and Conditions govern the relationship between Smart Tribe Digital (“we”, “our”, “us”) and the client (“you”, “your”) in relation to the services we provide, including but not limited to web design, website maintenance, digital marketing, and CRM/automation systems.

By agreeing to work with us, you accept these terms.

1. Scope of Services

We provide services including, but not limited to:

  • Website design and development

  • Website hosting and maintenance

  • Search engine optimisation (SEO)

  • Paid advertising management, including Google Ads and Meta Ads

  • Landing pages and conversion-focused design

  • Organic content and digital marketing support

  • CRM, automation, and related systems setup

The exact scope of work, deliverables, timelines, and fees will be outlined in your proposal, invoice, or service agreement.

2. Payments and Billing

A deposit or upfront payment may be required before work begins. For most website projects, this is typically 50% upfront, with the balance due as agreed in your proposal or payment plan.

Monthly services, retainers, hosting, maintenance, SEO, and ad management are billed monthly in advance unless agreed otherwise.

Late or missed payments may result in delayed delivery, paused work, suspension of services, or removal of access until payment is brought up to date.

All payments made are non-refundable once work has started, unless otherwise agreed in writing.

3. Timelines and Client Responsibilities

You agree to provide all required content, information, logins, approvals, feedback, and assets needed for us to deliver the service.

You are responsible for ensuring that any content, images, trademarks, claims, and materials you provide are accurate, lawful, and owned by you or properly licensed for use.

Delays in providing required information, approvals, or feedback may affect timelines and delivery dates.

4. Revisions and Scope Changes

Projects include only the revisions or amends stated in the proposal or agreement.

Any requests outside the agreed scope, including additional pages, extra design concepts, changes in direction, new functionality, or further revisions, may be charged separately.

Once a stage or final version has been approved, any later changes may require a new quote and may affect the project timeline.

5. Website Hosting and Maintenance

Your website is covered under our Website Care Plan for 2 months, which includes:

  • Website hosting

  • Plugin and theme updates

  • Website security and uptime monitoring

  • Daily website backups

  • Basic content revisions

  • Direct support for technical issues

After your free period ends, continued hosting and maintenance are available for £55/month. Please note, this will need to be set up as a subscription on our end or via a direct debit mandate from your end.

Website Care Plan Terms

The Website Care Plan includes website hosting, plugin and theme updates, website security and uptime monitoring, daily backups, basic content revisions, and direct support for technical issues.

The free 2-month period begins from the date your website goes live or is handed over, unless otherwise agreed in writing.

Basic content revisions cover small text, image, or link updates only. This does not include redesigns, new pages, custom development, copywriting, branding, or major functionality changes. Any work outside of basic revisions may be quoted separately.

After the free period ends, ongoing hosting and maintenance will continue at £55 per month, subject to a subscription being set up by us or a direct debit mandate being completed by you. If no payment arrangement is in place, we reserve the right to pause hosting and maintenance services after the free period ends.

While we take reasonable steps to keep your website secure, updated, and backed up, we are not liable for downtime, cyberattacks, third-party hosting issues, plugin conflicts, or other issues outside our reasonable control.

You may cancel ongoing hosting and maintenance with 30 days’ written notice. No refunds will be given for any monthly period already paid for.

6. Marketing and Advertising Services

SEO Services

SEO is an ongoing service, and results can vary depending on competition, website condition, search engine algorithm updates, industry trends, and other external factors.

We do not guarantee specific rankings, traffic levels, lead volume, or sales results.

SEO work may include technical improvements, on-page optimisation, content recommendations, reporting, and strategy, depending on your agreed package.

Google Ads and Meta Ads

For paid advertising services, we manage campaigns according to the agreed strategy, budget, and service level.

Unless stated otherwise, your advertising spend is separate from our management fee and is paid directly by you to the advertising platform.

You remain responsible for approving your ad budget, offer, claims, landing pages, and business compliance. We are not responsible for ad disapprovals, account restrictions, rising costs, policy changes, or platform decisions made by Google, Meta, or other advertising providers.

We do not guarantee leads, conversions, sales, or return on ad spend, as results depend on many factors outside our control, including market demand, competition, budget, website performance, and offer quality.

7. Intellectual Property

You retain ownership of all content, branding, and assets supplied by you.

All final work created by us for your business will become your property once full payment has been received, unless otherwise agreed in writing.

You agree that Smart Tribe Digital may display and reference the completed project, including approved visuals, designs, and non-confidential deliverables, within our public and private portfolio for marketing, sales, and promotional purposes, unless otherwise agreed in writing.

8. Cancellation & Termination

  • You may cancel ongoing services with 30 days’ written notice.

  • No refunds will be given for services already rendered or partially completed unless otherwise agreed.

  • We reserve the right to terminate services if you breach these terms or fail to pay within a reasonable period.

9. Confidentiality & Data Protection

  • We treat your business information, credentials, and data with confidentiality.

  • We comply with GDPR and other applicable data protection laws.

  • You are responsible for your customer data and ensuring compliance if you’re collecting, storing, or processing it.

10. Limitation of Liability

We are not liable for:

  • Loss of revenue, business, or data due to technical faults, third-party failures, or delays beyond our control.

  • Errors resulting from incorrect information supplied by you.
    Our total liability shall not exceed the total fees paid by you for the relevant service in the last 3 months.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved under the jurisdiction of the English courts.

Terms of Products (WC Product Quiz)

1. Introduction

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”) and Smart Tribe Digital Limited, a company registered in England and Wales under company number 16153601 (“Smart Tribe Digital”, “we”, “us”), governing your purchase and use of the WC Product Quiz WordPress plugin (“Plugin”, “Software”).

By purchasing, downloading, installing, or using the Plugin, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not purchase or use the Plugin.

 

2. Definitions

  • “Licence” means the right granted to you under these Terms to install and use the Plugin on a single WordPress website.
  • “Licence Key” means the unique alphanumeric key provided upon purchase that activates the Plugin and enables access to updates and support.
  • “Subscription Period” means the 12-month period commencing from the date of purchase or renewal.
  • “Website” means a single WordPress installation identified by a unique domain name.
  • “Update” means any bug fix, security patch, feature enhancement, or new version of the Plugin released during your active Subscription Period.

 

3. Licence Grant

3.1 Scope

Subject to your payment of the applicable fee and compliance with these Terms, Smart Tribe Digital grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Plugin on one (1) WordPress website for the duration of your active Subscription Period.

3.2 GPL Compliance

The PHP source code of the Plugin is distributed under the GNU General Public License version 2 or later (GPLv2+), consistent with the WordPress ecosystem. Your rights under the GPL apply to the source code itself. These Terms govern the commercial relationship, including access to updates, support, and the Licence Key.

3.3 Restrictions

You shall not:

  • Redistribute, sublicence, lease, or sell the Plugin, Licence Key, or access to updates to any third party.
  • Use a single Licence Key on more than one (1) WordPress website simultaneously.
  • Remove, alter, or obscure any proprietary notices, branding, or attribution within the Plugin.
  • Use the Plugin for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to reverse-engineer any proprietary components beyond what is permitted by the GPL licence.

 

4. Pricing and Payment

4.1 Fee

The Plugin is offered at a price of £10.00 (ten pounds sterling) per website, per year. This is the total price — there are no hidden fees, setup charges, or additional costs.

4.2 Payment

Payment is processed securely at the time of purchase via the payment methods available on our website. All prices are inclusive of VAT where applicable. VAT will be applied based on your location in accordance with applicable tax laws.

4.3 Renewal

Your licence will not auto-renew. Before the end of your Subscription Period, we will send you a reminder. You may manually renew your licence for another 12 months at the then-current price. If you choose not to renew, your Licence Key will expire and you will no longer receive updates or support. The Plugin will continue to function on your website, but without further updates.

 

5. Updates and Support

5.1 Updates

During your active Subscription Period, you will receive all Plugin updates delivered automatically through the WordPress update system. Updates may include bug fixes, security patches, compatibility updates, and new features at our discretion.

5.2 Support

We provide email-based technical support for the Plugin during your active Subscription Period. Support covers installation issues, configuration questions, and bug reports. Support does not cover third-party theme or plugin conflicts, custom development, or general WordPress administration.

5.3 Response Times

We aim to respond to support requests within 2 business days (Monday to Friday, excluding UK public holidays). Response times are targets, not guarantees.

 

6. Refund Policy

We offer a 14-day money-back guarantee from the date of purchase. If the Plugin does not function as described on our website and we are unable to resolve the issue, you may request a full refund within 14 days of purchase by contacting us at support@smarttribe.digital. Refunds are processed within 5–10 business days.

Refund requests made after 14 days from the date of purchase will be considered on a case-by-case basis at our sole discretion.

 

7. Intellectual Property

The Plugin, including its design, branding, documentation, and all associated materials, is owned by Smart Tribe Digital Limited. The PHP source code is licensed under GPLv2+. All trademarks, trade names, and logos associated with Smart Tribe Digital and WC Product Quiz remain the exclusive property of Smart Tribe Digital Limited.

 

8. Disclaimer of Warranties

The Plugin is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Smart Tribe Digital disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Plugin will be uninterrupted, error-free, or compatible with every WordPress configuration, theme, or third-party plugin.

 

9. Limitation of Liability

To the maximum extent permitted by applicable law, Smart Tribe Digital’s total aggregate liability arising out of or in connection with these Terms or the use of the Plugin shall not exceed the total amount paid by you for the Plugin in the 12 months immediately preceding the event giving rise to the claim.

In no event shall Smart Tribe Digital be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, however caused.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

 

10. Data Protection

We process personal data in accordance with our Privacy Policy [link to Privacy Policy] and in compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. By purchasing the Plugin, you acknowledge that we will collect and process certain personal data as described in our Privacy Policy.

 

11. Termination

We may terminate or suspend your licence immediately if you breach any of these Terms. Upon termination, your Licence Key will be deactivated and you must cease using the Plugin. Sections relating to intellectual property, limitation of liability, and governing law shall survive termination.

 

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

 

13. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated to you via email or through our website. Your continued use of the Plugin after such changes constitutes acceptance of the updated Terms.
